Definitions:

  1. Platform” means the web portal oopsstudy.com.
  2. Student” means and includes, by whatever name called, all participants registered under the Student section of the platform whether or not they have enrolled courses / services offered by the platform in any form.
  1. The Company” means M/s LBIS EDU PRIVATE LIMITED who owns and manages the operations of the platform.
  2. Content” means and includes text, images, videos, audio, software, graphics, logos, trademarks, and any other materials available on the platform.
  3. “Products” shall mean live sessions, Webinar, Consultancy, Study Materials and Recorded Sessions.

 

  1. TUTORS CODE OF CONDUCT
  1. a) Tutors are required to maintain the highest standards of professionalism in all interactions with students, the platform, and any other stakeholders. This includes, but is not limited to, the following obligations:

Adherence to Ethical and Legal Standards: Tutors shall comply with all relevant local, national, and international laws and regulations, as well as established ethical guidelines related to their field of expertise. They shall ensure that their services and content do not infringe upon the rights of others and adhere to standards of integrity and fairness.
  2. Punctuality and Responsiveness: Tutors must be punctual for scheduled sessions and promptly respond to student inquiries, questions, and concerns. Response times should be reasonable, and any delays must be communicated in advance with a clear plan for rescheduling or follow-up.
  1. Professional Conduct and Appearance: Tutors shall maintain professional behaviour at all times during interactions, including video calls, chats, and any other communications on the platform. This includes dressing in a manner that is appropriate for professional settings, being mindful of body language, and maintaining a tone of respect and professionalism. They shall avoid behaviours or language that could be perceived as unprofessional, offensive, or inappropriate.
  2. Confidentiality and Privacy: Tutors must respect the confidentiality and privacy of students. All personal information shared by students must be treated with the utmost care and only used for educational purposes. Tutors are prohibited from sharing any confidential or private information obtained during their work with students, unless explicitly authorized or required by law.
  3. Commitment to Continuous Improvement: Tutors should actively seek to improve their professional skills and knowledge. This may include attending relevant training sessions, workshops, or courses in their field of expertise. They should also stay current with industry trends and best practices to ensure the highest quality of service to students.

 

 

  1. a) Tutors offering courses are collectively responsible for ensuring that the content provided is accurate, current, and directly aligned with the stated learning objectives. This responsibility extends to the creation, delivery, and ongoing review of course materials, ensuring they are designed to maximize educational outcomes. The following standards must be adhered to in the development and delivery of course content:
  2. Accuracy and Relevance: Course materials must reflect the latest, most reliable information available in the subject area. They must be regularly reviewed and updated to ensure they remain relevant to the learning objectives and reflect current trends, research, and practices within the field of study.
  3. Non-Discrimination and Impartiality: All course content must be free from bias, prejudice, or discriminatory language based on race, gender, sexual orientation, religion, disability, or any other protected characteristic. The materials should promote inclusivity and respect for diversity in all its forms.

Comprehensive Educational Tools: The course should include a variety of learning materials such as videos, live or pre-recorded lectures, interactive quizzes, assignments, and other tools that facilitate student learning. These materials should be designed to support the diverse learning preferences of students.

Delivery Method: The course content must be delivered through the designated platform, utilizing an appropriate combination of live sessions, pre-recorded lectures, and other relevant learning modalities. The method of delivery should align with the nature of the course and ensure accessibility for all participants, including those with special learning needs.

 

  1. a) Tutors are obligated to interact with students in a manner that upholds their dignity, respect, and well-being. All interactions should foster a positive, professional, and supportive learning environment. Specifically, the following principles must be adhered to:
  2. Respectful and Professional Conduct: Tutors must engage with students in a manner that respects their rights, individuality, and autonomy. This includes maintaining a professional demeanour and upholding mutual respect in all interactions, both in and outside the learning environment.
  3. Maintenance of Appropriate Boundaries: Clear and appropriate professional boundaries must be maintained at all times in interactions with students. Any form of personal, inappropriate, or overly familiar conduct that could compromise the professional relationship is strictly prohibited.
  1. Protection of Student Privacy and Confidentiality: All student-related information, whether academic, personal, or otherwise, must be treated with the utmost confidentiality. Tutors must comply with applicable data protection laws, ensuring that student privacy is safeguarded at all times. Students’ personal details should not be disclosed without their consent, unless required by law.
  2. Provision of Timely and Constructive Feedback: Tutors are required to respond to student queries and concerns in a timely, professional, and constructive manner. Feedback should be clear, actionable, and designed to support the student’s learning and development. Feedback should also be respectful, focused on the student’s progress, and delivered in a manner conducive to furthering

 

  1. a) Tutors are required to comply with all applicable terms of use, policies, and guidelines established by the platform for the duration of their engagement. Failure to adhere to these terms may result in the suspension or termination of access to the platform. Specifically, the following standards must be upheld:
  2. Authorized Use of the Platform: The platform is to be used solely for its intended educational purposes, as outlined in the platform’s terms of use. Tutors must refrain from using the platform for any unauthorized activities, including but not limited to personal, commercial, or illegal purposes. Any attempt to misuse or circumvent the platform’s intended use will not be tolerated.
  3. Confidentiality and Security: Tutors are responsible for maintaining the confidentiality of any sensitive or proprietary information related to the platform. This includes, but is not limited to, platform access credentials, security protocols, and any confidential data or intellectual property related to the platform’s operation. Such information should not be shared, disseminated, or disclosed to unauthorized third parties under any circumstances.

 

  1. a) Tutors are responsible for ensuring clear, timely, and effective communication with both students and platform administration. Effective communication is essential to maintaining a positive learning environment and fostering transparency throughout the course. The following standards must be adhered to:

Timely Response to Student Inquiries: Tutors are required to respond to student inquiries, questions, and concerns within a reasonable time frame, as defined by the platform’s guidelines or course-specific expectations. Responses should be respectful, professional, and provide the necessary clarification or assistance to support the student’s learning experience.

Clear and Concise Instructions: Tutors must provide students with clear, unambiguous, and detailed instructions regarding course materials, assignments, assessments, and any other relevant information. Instructions should be structured in a manner that promotes understanding and allows students to fully engage with course content and activities.

 

  1. a) Any violation of the established Code of Conduct may result in disciplinary action, depending on the nature and severity of the violation. The following actions may be taken to address breaches of conduct:
  2. Issuance of Warnings: In the event of a minor violation, a formal written warning may be issued. The warning will outline the nature of the violation, the expected corrective actions, and the potential consequences of further non-compliance.
  3. Removal of Course Materials: In cases where course materials are found to be in violation of the Code of Conduct, including issues related to content accuracy, discrimination, or inappropriate material, the platform may remove the offending materials. Affected Tutors may be required to revise or replace materials in accordance with platform guidelines.

 

  1. b) In all cases, individuals subject to disciplinary actions will be informed of the reasons for the actions taken and provided with an opportunity to appeal the decision if applicable, in accordance with the platform’s grievance resolution policies.
  1. a) Students, Tutors and platform administration are strongly encouraged to report any violations of the Code of Conduct. Prompt reporting is crucial to maintaining a safe, respectful, and productive learning environment. The following guidelines apply to the reporting process:

Encouragement to Report Violations: All individuals involved in the course, including students, Tutors and platform administration, are encouraged to report any suspected or observed violations of the Code of Conduct. Reports may concern issues such as harassment, discrimination, unethical behaviour, or breaches of platform policies.
  3. Confidentiality of Reports: All reports will be treated with the utmost confidentiality. Personal information, the identity of the reporter, and the specifics of the violation will not be disclosed to unauthorized parties, except as required by law or platform policy.
  1. Protection against Retaliation: Individuals who report violations in good faith will be protected from any form of retaliation, including but not limited to harassment, discrimination, or adverse academic consequences. Retaliation is strictly prohibited and will be treated as a separate violation of the Code of Conduct.
  2. Outcome and Resolution: After completing the investigation, the platform will communicate the findings to the relevant parties and take appropriate corrective or disciplinary actions, if warranted. The platform is committed to ensuring that any violations are addressed in a fair and just manner, in line with the severity of the violation.

 

 

  1. STUDENT INTERACTION PROTOCOLS
  1. a) Tutors are obligated to create and maintain a learning environment that upholds the principles of respect, inclusivity, and professionalism. This environment should be free from any form of harassment, discrimination, or bullying, and it must actively promote mutual respect among all participants. The following guidelines must be followed:

Zero Tolerance for Harassment, Discrimination, and Bullying: Tutors are responsible for ensuring that all students, regardless of their race, gender, sexual orientation, religion, nationality, disability, or any other protected characteristic, are treated with fairness and respect. Any form of harassment, discrimination, or bullying—whether verbal, physical, or emotional—is strictly prohibited and will not be tolerated under any circumstances.
  3. Promotion of Inclusivity: Tutors must actively promote an inclusive environment that values diversity and fosters a sense of belonging for all students. This includes encouraging participation from all individuals, providing accommodations where necessary, and ensuring that all materials and communication reflect inclusive practices.
  1. Immediate Intervention: In cases where harassment, discrimination, or bullying occurs, Tutors must take immediate and appropriate action to intervene. This includes addressing the situation directly with the involved parties, offering resources for conflict resolution, and, if necessary, reporting the incident in accordance with the platform’s policies.
  2. Ongoing Education and Awareness: Tutors are encouraged to engage in continuous education and training on topics related to diversity, equity, inclusion, and respectful communication. This ensures they remain informed about best practices for fostering a supportive and respectful learning environment.

 

  1. Confidentiality of Student Information: Tutors are obligated to respect the privacy of students and ensure that all personal, academic, and any other confidential information shared by students is protected. This includes safeguarding data against unauthorized access, disclosure, or misuse.
  2. Use of Student Data: Student data, whether collected directly from the students or through their interactions with the course materials, must only be utilized for legitimate educational purposes. Tutors must ensure that any use of student information is in full compliance with the platform’s privacy policy, as well as any applicable laws or regulations regarding data protection and privacy.
  3. Compliance with Privacy Laws: Tutors must adhere to all relevant privacy laws and regulations, including but not limited to data protection laws such as the GDPR (General Data Protection Regulation) or any other local, state, or national legislation that governs the collection, storage, and processing of personal data. Any violation of these laws may result in disciplinary action and legal consequences.
  4. Sharing of Student Data: Student information should never be shared with third parties, except when necessary for legitimate educational purposes or as required by law. Where student data must be shared with external entities (e.g., for assessments or platform operations), Tutors must ensure that proper consent is obtained and that all parties involved adhere to privacy and data security standards.
  5. Data Retention and Deletion: Student data should only be retained for as long as necessary to fulfil the educational purposes for which it was collected. Once the purpose for data retention has been fulfilled, student data must be securely deleted or anonymised, in accordance with platform policies and data retention laws.

 

  1. Direct and Professional Resolution of Conflicts: Tutors are responsible for addressing any conflicts or grievances with students in a direct, respectful, and professional manner. All efforts should be made to resolve conflicts amicably and constructively, through open dialogue and mutual understanding. Tutors must remain impartial and focused on finding a fair and equitable resolution, in line with the platform’s policies and the best interests of the students.
  2. Escalation to Mediation Services: If a conflict cannot be resolved through direct communication or if the issue escalates, the platform may offer mediation services to assist in the resolution process. Mediation will be conducted by neutral, trained professionals who will facilitate discussions between the involved parties to help reach a mutually agreeable solution.
  3. Timeliness of Resolution: Conflicts should be addressed promptly to prevent escalation and to ensure that students’ learning experiences are not unduly disrupted. Tutors should strive to resolve issues as quickly as possible, while still ensuring fairness and due process for all parties involved.
  4. Documentation of Conflicts: All conflicts and the steps taken to resolve them should be documented appropriately. This ensures a record of the proceedings and can help ensure transparency and accountability in the resolution process. Documentation will be kept confidential and in accordance with the platform’s privacy policies.
  5. Respect for Due Process: Tutors must respect students’ rights throughout the conflict resolution process. This includes providing the student with a clear understanding of the steps involved, offering an opportunity for the student to present their perspective, and allowing adequate time for resolution.

Student Reporting of Interaction Protocol Violations: Students have the right to report any concerns or issues related to violations of the interaction protocols, including but not limited to instances of disrespectful conduct, harassment, discrimination, or bullying. These reports may be submitted to the platform through designated channels as outlined in the platform’s reporting procedures.

Confidentiality and Protection for Reporters: All reports will be handled with the utmost confidentiality, ensuring that the identity of the student making the report is protected to the greatest extent possible. The platform will also ensure that no retaliatory actions are taken against students who report issues in good faith. Any form of retaliation will be considered a violation of the platform’s policies and will be addressed accordingly.
  3. Investigation and Resolution: Once a report is received, the platform will promptly initiate an impartial and thorough investigation into the matter. The investigation process will be conducted with fairness, respecting the rights of all parties involved. The platform will take appropriate action based on the findings of the investigation, which may include mediation, warnings, or disciplinary action, depending on the nature and severity of the violation.
  4. Timeliness of Response: The platform commits to addressing all reports of issues related to interaction protocols in a timely and efficient manner. The goal is to resolve such matters as quickly as possible, while ensuring that the investigation is thorough and that all parties have the opportunity to be heard.
  5. Outcome and Communication: Upon completion of the investigation, the platform will communicate the findings and any actions taken to the involved parties. The platform will ensure that any corrective measures are implemented and that all steps taken are in accordance with the platform’s policies and procedures.

 

 

  1. INTELLECTUAL PROPERTY POLICY
  1. Retention of Intellectual Property (IP) Rights by Tutors: Tutors retain full ownership of the intellectual property (IP) rights associated with the course materials they create, develop, and upload to the platform. This includes, but is not limited to, the following types of materials:
    1. Lecture content, in all formats (written, audio, video).
    2. Presentations and slides.
  1. Learning materials such as hand-outs, worksheets, and any other supplementary educational resources.
  1. Acknowledgment of IP Ownership by the Platform: The platform acknowledges and fully respects the intellectual property rights of Tutors. The platform will not claim ownership over any course materials uploaded by these parties unless explicitly agreed upon in writing. The platform is granted a non-exclusive, royalty-free license to use, display, and distribute the course materials solely for the purpose of facilitating the course, in accordance with the platform’s terms of use.
  2. Certification of Originality and Non-Infringement: Tutors are required to certify that all course materials uploaded to the platform are original works created by them or are properly licensed for use. Tutors must confirm that the materials do not infringe upon the intellectual property rights of any third party, including copyright, trademark, or patent rights. Any materials found to infringe upon third-party IP rights will be subject to removal from the platform and may result in disciplinary action or termination of access.
  3. Indemnification for IP Infringement: Tutors agree to indemnify and hold harmless the platform from any claims, damages, or liabilities arising from a breach of their representations regarding the originality of the course materials or any third-party IP infringement. In the event of a claim of IP infringement, the platform reserves the right to remove the grievanced content and take appropriate action in accordance with its policies.

 

  1. Non-Exclusive License for Course Materials: By uploading course materials to the platform, tutors grant the platform a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, publish, modify, adapt, and display the materials solely for the purpose of facilitating the delivery of the course to registered students. This license is granted for the duration of the course and solely for the educational use of students enrolled in the course, in accordance with the platform’s terms of use.
  2. Scope of License:

The license granted to the platform includes the right to:

  1. Host, store, and display the uploaded materials on the platform.
  2. Distribute the materials to students through various technological means, including but not limited to streaming, downloading, and accessing through the platform’s digital infrastructure.

 

  1. No Transfer of Ownership: This license does not transfer ownership of the intellectual property in the course materials. Tutors retain full ownership of the intellectual property rights in the materials they upload, and the platform’s use of the materials is limited to the scope outlined above. The platform does not acquire any further rights to the materials beyond the purpose of delivering the course to students.
  2. Termination of License: The license granted under this section will automatically terminate upon the removal of the course materials from the platform. Upon termination, the platform will cease using the materials and will no longer display, distribute, or otherwise make the materials available to students. However, the platform may retain a copy of the materials for purposes of fulfilling its legal obligations, resolving grievances, or complying with applicable laws.

 

  1. Responsibility for Obtaining Necessary Permissions: If Tutors  incorporate third-party materials into their courses, such as copyrighted content, trademarks, or other proprietary materials, they are solely responsible for obtaining the necessary permissions, licenses, or rights from the relevant rights holders. Tutors must ensure that the use of such third-party materials does not infringe upon any intellectual property rights or violate any laws or regulations.
  2. No Ownership by the Platform: The platform does not claim ownership of any third-party materials uploaded or incorporated into course content by Tutors. The platform’s role is limited to facilitating the hosting, distribution, and delivery of such materials to students as part of the course. Oops! Shall not be held responsible for any issues related to the legality, ownership, or infringement of third-party materials.
  3. Responsibility for Legal Grievances: Tutors shall bear full responsibility for any grievances, claims, or legal actions arising from the use of third-party materials within their courses. This includes, but is not limited to, issues related to copyright infringement, trademark violations, or any other intellectual property-related claims. The platform shall not be held directly or indirectly liable for any such grievances or legal actions. The platform is merely a technological facilitator and is not responsible for the content uploaded by users or for any resulting legal consequences.
  4. Indemnification: Tutors agree to indemnify and hold harmless the platform, its employees, officers, and affiliates from any and all claims, damages, liabilities, and costs (including legal fees) arising out of their use of third-party materials in violation of any applicable intellectual property laws or regulations.

 

 

  1. Access Restricted to Registered Students: Course materials are exclusively accessible to students who are officially registered in the relevant course. Access to the materials is provided solely for the purpose of personal educational use within the context of the course. Unauthorized individuals, including non-registered users, are prohibited from accessing course materials.
  2. Prohibition on Sharing or Distributing Materials: Students are strictly prohibited from sharing, distributing, or reproducing any course materials outside of the platform, including but not limited to posting, emailing, or selling the materials, without the prior written consent of the tutor, or platform as appropriate. This includes both digital and physical copies of any course content, including but not limited to lectures, assignments, presentations, or supplementary resources.
  3. Responsibility for Compliance: Students are responsible for ensuring that they comply with these access restrictions. Any breach of this policy by students may result in disciplinary action, including suspension or termination of access to the course and platform, as well as legal consequences in cases of intellectual property infringement.
  4. License Limitation: The access granted to students to course materials is a non-transferable, revocable license to use the materials only for the purposes of their educational participation in the course. This license does not permit the student to share, distribute, or commercialize the materials in any way outside the scope of the course.

 

  1. Response to Valid Takedown Requests: The platform is committed to promptly addressing valid takedown requests from copyright holders. If a copyright holder believes that their intellectual property has been infringed upon by materials hosted on the platform, they may submit a formal takedown request to the platform, which will be reviewed and acted upon promptly.
  2. Procedure for Takedown Requests: Upon receipt of a valid takedown notice, the platform will take appropriate action, including the removal or disabling of access to the allegedly infringing materials, pending further investigation. The platform will also notify the tutor, responsible for the content about the takedown request, giving them an opportunity to provide evidence of their right to use the material.
  3. Responsibility of Tutors: Tutors are responsible for resolving any copyright infringement claims related to the materials they upload or incorporate into the course content. This includes obtaining the necessary licenses or permissions for the use of third-party copyrighted materials and addressing any grievances with copyright holders directly. Tutors must ensure that the course materials they provide do not infringe upon the rights of any third parties.
  4. Indemnification for Copyright Infringements: Tutors agree to indemnify and hold harmless the platform from any claims, damages, or liabilities arising from copyright infringement claims related to materials they upload or use in their courses. This includes covering any legal fees and costs associated with defending against such claims.

Counter-Notices: If a tutor believes that their materials were removed or disabled in error, they have the right to submit a counter-notice to the platform. The platform will review the counter-notice in accordance with applicable laws and, if appropriate, restore access to the materials.

 

  1. COURSE CONTENT GUIDELINES
  1. Quality and Accuracy: Course content must meet high standards of quality, ensuring that all materials are clear, legible, accurate, and well-organized. Content should be presented in a professional manner that supports an engaging and effective learning experience for students. The materials should be structured logically, with clear objectives and a coherent progression of topics that align with the course goals.
  2. Responsibility for Content Currency and Relevance: Tutors are responsible for ensuring that the course content is up-to-date and reflects the most current information, practices, and research in their respective fields. This includes reviewing and updating materials regularly to ensure relevance and accuracy. Content should align with best practices and industry standards, incorporating any advancements in knowledge or methodology.
  3. Research and Evidence-Based Practices: Tutors must ensure that course content is based on credible sources and sound evidence. Where appropriate, reference materials should be cited, and content should be supported by up-to-date research or professional guidelines. Tutors should make every effort to avoid the dissemination of outdated, inaccurate, or misleading information.
  4. Appropriateness and Sensitivity: All course content must be appropriate for the intended student audience and sensitive to cultural, ethical, and legal considerations. Content must avoid language, imagery, or ideas that could be considered discriminatory, offensive, or harmful to any group. Tutors should actively promote an inclusive, respectful learning environment through their content.

 

  1. Consistency with Course Description: Course content must fully align with the description provided to students at the time of enrolment. This includes ensuring that the materials, topics, and structure of the course match the details outlined in the course description, as well as any commitments made regarding the course’s learning outcomes and objectives.
  2. Learning Objectives: The content must clearly support and be directly relevant to the stated learning objectives. Tutors are responsible for ensuring that the course facilitates the achievement of these objectives, and that students are able to develop the skills and knowledge promised in the course description. Any significant deviation from the stated learning objectives must be clearly communicated to students and justified.
  3. Course Topics: The course topics, units, or modules must be delivered in accordance with the description provided to students at the start of the course. If any adjustments or changes to the course content or order of topics are necessary, these changes should be clearly communicated to students in advance. Any significant alterations should be accompanied by a rationale that ensures students still receive the intended educational experience.
  4. Instruction Format: The method of instruction (e.g., live sessions, recorded lectures, assessments, interactive exercises, etc.) must align with what was initially communicated to students in the course description. Tutors must ensure that the format of delivery matches student expectations, and any changes in the delivery format should be communicated in a timely and transparent manner.
  5. Transparency and Accountability: Tutors are accountable for ensuring that students receive the experience they were promised at enrolment. In cases of discrepancies between the course description and actual content or delivery, tutors should provide clear explanations and make adjustments as needed to ensure students’ educational goals are met.

 

  1. Encouragement of Interactive and Engaging Content: Tutors are strongly encouraged to develop course content that is interactive, engaging, and varied in format. This may include the use of multimedia elements such as videos, quizzes, discussion boards, interactive exercises, case studies, and group activities. The goal is to foster an engaging learning environment that motivates students to actively participate and retain knowledge effectively.
  2. Incorporation of Various Content Formats: The course content should be delivered using a range of formats to accommodate different learning styles and preferences. This may include text, video, audio, info graphics, and hands-on activities. Tutors should leverage these diverse formats to enhance the learning experience and cater to both visual and auditory learners, as well as those who benefit from interactive or practical content.
  3. Adherence to Accessibility Guidelines: Content must be designed and delivered in a way that is accessible to all students, including those with disabilities. Tutors are required to comply with relevant accessibility standards and guidelines, such as the Web Content Accessibility Guidelines (WCAG), to ensure that their materials can be easily accessed by students with visual, auditory, cognitive, or other disabilities. This includes, but is not limited to:
    1. Providing captions or transcripts for videos and audio content.
    2. Ensuring that course materials are compatible with screen readers and other assistive technologies.
  1. Offering alternative formats for documents when needed, such as text-only versions or audio files.
  1. Equitable Learning Experience: Tutors must ensure that all students, regardless of their abilities or disabilities, have equal access to the course content and learning opportunities. This includes making reasonable accommodations for students who may require additional support to fully engage with the material. Any requests for accommodations should be handled promptly and in a manner that ensures fairness and equal access.

  1. The platform strictly prohibits the upload, distribution, or use of any content that falls under the following categories:

This includes, but is not limited to, content related to child exploitation, trafficking, or any other illegal activities as defined by applicable legal frameworks. Tutors are responsible for ensuring that their materials comply with all relevant laws and regulations.

Hateful or Discriminatory Content: Content that promotes hate, violence, or discrimination based on race, ethnicity, gender, religion, sexual orientation, disability, or any other characteristic is strictly prohibited. This includes content that harasses, intimidates, or incites harm against individuals or groups. The platform is committed to fostering a safe, respectful, and inclusive learning environment for all students.

Intellectual Property Infringement: Content that infringes upon the intellectual property rights of others, including but not limited to copyright, trademark, or patent violations, is strictly prohibited. Tutors must ensure that any third-party content used in their courses is properly licensed or has the necessary permissions to avoid IP infringement.
  2. Misleading or Deceptive Information: Content that is misleading, false, or intended to deceive students or the platform is prohibited. This includes providing inaccurate information, misrepresenting facts, or making unsupported claims. Tutors must ensure the accuracy and credibility of the information presented in their courses.

 

  1. Right to Review Content: The platform reserves the right to review all course content submitted by Tutors before it is published or made accessible to students. This review is intended to ensure that the content complies with the platform’s content guidelines, including legal, ethical, and accessibility standards. The platform may also periodically review course materials to maintain quality and compliance throughout the duration of the course.
  2. Right to Remove Content: The platform has the authority to remove or restrict access to any course content that violates these guidelines, including content that is illegal, discriminatory, and harmful, infringes on intellectual property rights, or contains misleading or deceptive information. Removal or restriction of content may occur at the platform’s discretion, and will be based on the nature and severity of the violation.
  3. Notification of Concerns: In the event that the platform identifies any concerns or potential violations related to the course content, Tutors  will be promptly notified. The platform will provide a detailed explanation of the issue(s) and, where applicable, give the course creator(s) an opportunity to address the concerns. This may include making necessary revisions or providing additional documentation to resolve the issue.
  4. Opportunity to Rectify Violations: Tutors will generally be given a reasonable period to correct any identified issues with their course content. If the content is found to violate platform guidelines, they may be asked to revise or remove specific elements in order to bring the content into compliance. If the issue cannot be resolved satisfactorily, the platform may take further action, including temporary suspension or permanent removal of the course from the platform.
  5. No Liability for Content Removal: The platform shall not be held liable for any damages, losses, or other consequences resulting from the removal or restriction of course content. Tutors are solely responsible for ensuring that their content complies with all platform guidelines and legal requirements.

 

  1. Right to Withdraw Courses: The platform reserves the right to withdraw or suspend any course that consistently fails to meet the established quality, engagement, or other relevant standards set forth in the platform’s guidelines. This includes, but is not limited to, failure to maintain current and accurate content, lack of student engagement, or non-compliance with platform policies.
  2. Reasonable Notice: Prior to the withdrawal or suspension of a course, the platform will provide reasonable notice to the affected Tutors. This notice will outline the specific reasons for the withdrawal and give the course creator(s) a fair opportunity to address any identified issues or concerns. The platform will provide guidance on how to correct the deficiencies in order to avoid course withdrawal, where possible.
  3. Criteria for Withdrawal: The platform will consider a variety of factors when determining whether a course should be withdrawn, including:
    1. Consistent failure to engage students or deliver learning outcomes.
    2. Non-compliance with content guidelines or legal requirements.
  1. Lack of responsiveness from the tutor to feedback or concerns.
  1. Opportunity to Rectify: In the event that a course is at risk of being withdrawn, the platform will offer the tutor an opportunity to remedy the situation within a reasonable timeframe. This may include improving course content, increasing engagement, or resolving technical issues. If the course creator(s) are unable or unwilling to meet the platform’s requirements, the course may be withdrawn or suspended.
  2. No Liability for Course Withdrawal: The platform shall not be held liable for any damages, losses, or reputational harm resulting from the withdrawal of a course. The platform reserves the right to make decisions regarding course availability in the interest of maintaining overall quality and integrity.

 

  1. GRIEVANCE-SOLVING POLICY FOR TUTORS

The purpose of this Grievance-Solving Policy is to outline a clear, fair, and transparent process for addressing and resolving grievances or complaints raised by Tutors regarding the services, policies, procedures, or other aspects of the platform. This Policy ensures that any issues or concerns are handled promptly, impartially, and in accordance with applicable laws and regulations.

 

 

This Policy applies to all Tutors registered on the Platform, including but not limited to individual Tutors, Coaching Institutes, and any associated personnel engaged in delivering educational services through the Platform. The Policy governs complaints and grievances relating to the Platform’s operations, support, content, payments, user interface, terms of service, and any other areas where the Tutor may have concerns.

 

A grievance is any expression of dissatisfaction or complaint raised by a tutor regarding any aspect of their relationship with our platform. This includes, but is not limited to, issues relating to payments, technical difficulties, platform performance, policy violations, or customer support matters.

 

  1. Informal Resolution:
  2. In the first instance, the tutor should attempt to resolve the issue by contacting our customer support team.
  3. Upon receipt of the issue, the customer support team will investigate the matter and make reasonable efforts to resolve the issue in a timely and efficient manner.

 

  1. Formal Grievance:
  2. If the issue cannot be resolved through informal means, the tutor may escalate the issue by submitting a formal grievance in writing to the designated grievance officer.
  3. The grievance must provide a clear description of the nature of the complaint, including the date of occurrence, and the preferred resolution sought.

 

  1. Investigation:
  2. The grievance officer will conduct a thorough investigation of the grievance, including collecting relevant information and conducting interviews with the involved parties.
  3. The investigation shall be concluded within 5 business days from the date the grievance officer acknowledges receipt of the grievance.

 

  1. Resolution:
  2. Upon completion of the investigation, the grievance officer will issue a written response to the tutor, summarizing the findings and outlining the proposed resolution.
  3. If the grievance is upheld, appropriate corrective actions will be taken. These may include, but are not limited to:
    1. Issuing a refund
    2. Providing technical support
    3. Modifying platform features
    4. Implementing disciplinary actions.

 

  1. Appeal:
  2. If the tutor is dissatisfied with the outcome of the grievance resolution, they may appeal the decision in writing to the investigating officer’s supervisor or team head within 2 business days from the receipt of the written resolution.
  3. The appeals officer or team head will review the grievance and the resolution process and issue a final decision within 7 business days.

 

 

  1. All information related to grievances raised by Tutors, including but not limited to the grievance submission, the identity of the Tutor, the nature of the grievance, any communication between the Tutor and the Platform, and the resolution process, will be treated with the highest level of confidentiality. The Platform agrees that:
  2. Protection of Information: All grievance-related information will be used solely for the purpose of investigating and resolving the grievance. Such information will not be disclosed to third parties without the express written consent of the Tutor, unless required by law or regulatory authority.
  3. Access Restriction: Access to grievance-related information will be restricted to authorized personnel involved in the grievance resolution process. These individuals are required to maintain confidentiality and are bound by legal and contractual obligations to do so.
  1. Exceptions to Confidentiality: The Platform may disclose grievance-related information if required to do so by applicable law, regulation, or court order, or if necessary to protect the rights, property, or safety of the Platform, its users, or others. In such cases, the Platform will, where possible, inform the Tutor prior to disclosure.
  2. Retention of Information: The Platform may retain grievance-related information for a period of time as required for legal, compliance, or administrative purposes, in accordance with its data retention policies.

 

  1. This Grievance-Solving Policy will be reviewed periodically by the Platform to ensure its continued effectiveness, relevance, and compliance with applicable laws, regulations, and industry standards. The Platform reserves the right to update, amend, or modify this Policy at its discretion, in response to legal, operational, or business developments. Any such changes will be communicated to Tutors through appropriate channels, and the updated Policy will become effective immediately upon notice.
  2. Any grievances arising out of or in connection with this Grievance-Solving Policy, including any claims for breach or violation, shall be governed by the laws of the jurisdiction of Ahmedabad, Gujarat, India. The courts located in Ahmedabad; Gujarat shall have exclusive jurisdiction over any legal proceedings related to such grievances.

 

  1. Service Provision
  2. The Vendor agrees to provide the services in accordance with the specifications and requirements discussed and mutually agreed upon by the parties.
  3. This Agreement shall commence on the Effective Date and remain in full force and effect until terminated in accordance with the Closure Policy.
  4. The Platform reserves the exclusive right to amend or modify any of the provisions of these Terms and Conditions by providing notification of such changes on the Platform.

 

  1. PLATFORM’S PAYMENT POLICY
    • Payment Process:
  1. For all the products, the Platform shall allow tutors to generate invoice on 5th Working Day from the day purchases made or end of Session as the case may be.
  2. For Live courses, The invoice shall be generated pro-rata basis, so if for example for one live course, tutor is eligible for Rs. 1000, and that the course is going to last for 10 days, then the tutor shall be eligible for Rs. 100 for each completed sessions. Hence in this case, the Platform shall allow tutors to generate invoice for Rs. 100 per completed session. For products except Live Courses, the system shall allow to generate invoice in full amount as and when sessions/ purchase transactions are complete.
  3. The Tutors would verify the un-invoiced amounts and then shall generate Invoice from their Dashboard for those un-invoiced amounts.
  4. The signed copy of the same shall be sent to the company latest by 1.00 p.m. a day prior to applicable Payment Date. In case the invoice is received to the company after 1.00 p.m. prior to the payment date, then the same shall be taken for Payment processing on next Payment Date.
  5. In case there are grievances relating to the un-invoiced amounts, the tutor shall generate grievances relating to the amounts and the same shall be taken for consideration. For the remaining un-invoiced amounts, however, tutors can generate invoice as per normal procedures.
  6. In case, the student/s has/have generated any grievances against the tutors, prior to generation of invoice, the platform shall not allow the tutor to generate the invoice until the time grievances are resolved. However, if the grievances have been generated post generation of Invoice, the company reserves right to process the payment until the time grievances are resolved. If the payment is already made for that particular instance, the company reserves right to debit the amount in tutor’s ledger until the time grievances are resolved.

 

  1. For all products, the Company shall proceed for payment to tutors only once the Invoice from Tutors are received to the company as per the process mentioned in the clause 7.1 sub clause b).
  2. This Payment Date is subject to modification or amendment at the discretion of the company. In the event of any changes to the payment date or related procedures, tutors will be notified in a timely manner.

 

 

  1. Taxes and Payment Gateway Charges: The Vendor shall be responsible for the payment of all applicable taxes, including but not limited to Tax Deducted at Source (TDS), TCS, and any Payment Gateway Charges, which will be recovered from the Vendor and reflected at the time of course creation. The Vendor agrees to comply with all applicable tax obligations under local laws, unless expressly stated otherwise in this Agreement.
  2. Modification of Payment Terms: The platform reserves the right, at its sole discretion, to modify, add, or remove any of the payment terms outlined above, with or without prior notice to the respective service provider(s). Such modifications may be applicable to all current and future payments.
  3. Implied Acceptance: By registering on the platform and providing services in any capacity, service providers agree to be bound by the terms and conditions of this Service Provider Payment Policy. Registration on the platform constitutes an implied acceptance of these payment terms.
  4. Bank Details Accuracy: Service providers are required to upload accurate and up-to-date bank details in their profile section. The platform shall not be liable for any loss, delay, or issues arising due to the provision of incorrect bank details by the service provider.

 

  1. The Platform shall remit payment to the Vendor in accordance with the service rates as determined and prescribed by the Platform. Vendors may submit a written request via email to obtain a copy of the applicable service rates.
  2. Any changes to the rate structure shall be determined solely by the Platform. Any update or change to the rate structure shall be notified by the Platform on its website.

 

  1. Termination
  2. Either party may terminate this Agreement by providing thirty (30) days’ prior written notice to the other party.
  3. Upon termination, the Vendor shall complete all ongoing services and submit any pending deliverables within the notice period.
  4. Upon termination, the Vendor shall promptly return or, at the Platform’s discretion, destroy all confidential information and proprietary materials belonging to the Platform.
  5. The Platform shall clear all outstanding payments for services completed and approved prior to the termination date within thirty (30) days from the termination date.

 

  1. Governing Law
  2. This Agreement shall be governed by, and construed in accordance with, the laws of India, without regard to its conflict of law principles.
  3. Any grievances, claims, or controversies arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, and the parties hereby consent to the personal jurisdiction of such courts.
  4. If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be modified to the extent necessary to make it enforceable.

 

  1. Successors and Assigns:
  2. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors, permitted assigns, and legal representatives.
  3. The Vendor shall not assign, transfer, or subcontract any of its rights, obligations, or responsibilities under this Agreement without the prior written consent of the Platform, which may be granted or withheld at the Platform’s sole discretion.
  4. The Platform shall have the right to assign, transfer, or delegate any of its rights, obligations, or responsibilities under this Agreement to any affiliated entity, successor organization, or entity acquiring substantially all of its assets, without the need for the Vendor’s prior approval.

 

  1. GST COMPLIANCE
    1. In the event that the tutor does not have a GSTIN, the tutor acknowledges and declares that as soon as their annual turnover (considering the whole turnover including that generated from the company), exceeds the threshold limit for GST registration, as stipulated under the Goods and Services Tax (GST) laws, tutor shall take GSTIN and shall comply with the relevant GST laws, regulations, and requirements. The current threshold limit is twenty lakh rupees for a financial year, or ten lakh rupees for “special category states,” subject to any future amendments, notifications, or changes to the applicable laws.
    2. The tutor will be solely responsible for ensuring compliance with all applicable GST laws and regulations. The platform will not be liable for any GST compliance issues, obligations, or penalties associated with the tutor’s operations, and that any loss, if arises on account of Credit of ITC, the cost of same shall be borne by Tutor.

 

  1. GRIEVANCE RESOLUTION AND LIMITATION OF LIABILITY
  2. That the tutor is aware that he/she/it is using the platform for the purpose of ease of providing study material / courses / tuition / coaching etc. that the platform is acting as a medium to approach / connect the student. Further, the tutor acknowledges that in case any grievances arises between a Tutor and a Student, whether related to the services provided, payments, conduct, or otherwise, then it is agreed that any legal action that may be taken by either of the parties on each other as the case may be, shall be on the student and that the platform shall not be responsible for any loss or damage or mental harassment which may be experienced by the student / tutor as the case may be, during or after enrolling the courses / services as offered by the platform.
  3. The platform acts solely as an intermediary and facilitator of the connection between Tutors and Students. It is not a party to any agreement, transaction, or grievance that may arise between the Tutor and the Student. As such, the platform is not responsible for any actions, conduct, or legal claims that result from the interaction between the Tutor and the Student.
  4. The platform shall not be liable for any damages, losses, claims, or expenses arising from or related to any grievance, including legal fees and other costs incurred as a result of a legal action taken by either the Tutor or the Student.
  5. While the platform may provide mediation or conflict resolution services at its discretion, it is not obligated to do so, and such mediation will not impose any legal obligations or responsibilities on the platform. By using the platform, Tutor acknowledges and agree to these terms, including the waiver of any claims against the platform arising from grievances between the parties.
  6. Force Majeure Clause: Neither party shall be liable for any delay or failure to perform its obligations under this agreement due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, government actions, strikes, and natural disasters.
